Public Offer for Rendering Services for Payment for Goods and Services via a QR Code

JSC “ASTERIUM” (hereinafter referred to as the Operator), operating as a payment agent of JSC “Octobank” (hereinafter referred to as the Bank), offers individuals (Users) to conclude an agreement for rendering services for accepting payment orders for goods and services via a QR code. Registration in the Asterium application and completion of the first payment by a QR code mean full consent to the terms and conditions of this offer.

The PAYMENT by QR code service (“Service”) shall be provided under the following conditions:

• The Operator, operating on behalf of and by order of the Bank by virtue of the Agency Agreement, shall accept orders from the User to pay for goods and services by scanning the QR code of the supplier of goods and services in the Asterium mobile application.
• The Bank shall process and execute payments in accordance with the Bank's Public Offer “Regarding Rendering the Payment Services via the Mobile Application”, posted on the Bank's website at https://octobank.uz/usloviya-ispolzovaniya.
• Payment for goods and services shall be made in the currency of the country to which the payment is sent, at the exchange rate set by the Bank.
• The User shall deposit crypto assets into his/her Bank Account. The Operator shall convert them into fiat funds at the exchange rate applicable at the time of the transaction.

Tariffs and fees:

• The fee amount, conversion exchange rate and transaction limits shall be displayed in the application before confirmation of each payment.
• The fee shall be withheld automatically. Additional fees charged by the Bank and payment systems shall apply according to the tariffs of JSC “Octobank”, posted on the Bank's website at https://octobank.uz/chastnim-litsam/tarify-i-limity.
• The conversion exchange rate for crypto-assets shall be established by the Operator at the time of the transaction and shall be final.

Cancellation of payment due to a technical error:

• In the event of a technical error, technical failure, incorrect processing of a transaction, impossibility of executing a payment, or return of a payment by the Bank, payment system, or supplier of goods and services, the payment may be cancelled (annulled) by the Operator and/or the Bank.
• Upon cancellation of the payment, the fiat funds subject to return to the User shall be reverse-converted by the Operator into a crypto-asset and credited to the User’s wallet within the Asterium application. The type of crypto-asset to be credited is: HUMO Token.
• The User gives advance consent and instruction to the Operator and/or the Bank to perform the reverse conversion of fiat funds into HUMO Token and credit the corresponding amount to the User’s wallet without obtaining separate additional confirmation in the event of payment cancellation due to a technical error.

The User shall be obliged to:

• Provide reliable data during registration and pass identification (KYC).
• Check payment details (recipient, amount, fee, conversion exchange rate) before confirming transactions.
• Make sure that the scanned QR code of the supplier of goods and services is correct.
• Comply with the legislation of the Republic of Uzbekistan and not use the service for illegal transactions.
• Not use the service to carry out illegal transactions, legalize proceeds obtained through criminal activity, or finance terrorism.

Personal data processing:

The User hereby agrees to the processing of their personal data by the Operator, JSC “ASTERIUM”, and the Bank, JSC “Octobank”. The Operator and the Bank shall collect, systematize, accumulate, store, clarify, use, and transfer the User’s personal data to third parties (including payment systems and regulators) for the purposes of fulfilling this offer, identification, and compliance with the requirements of the legislation of the Republic of Uzbekistan on combating money laundering and the financing of terrorism. Data processing shall be carried out during the term of the agreement and for 5 years after its termination.

Limitation of liability:

The Operator shall act solely as a payment agent of the Bank and shall not be responsible for the actions of the Bank, payment systems, recipients of funds, and suppliers of goods and services. The Operator shall not be responsible for the accuracy of the QR code generated by the supplier of goods and services, the quality of purchased goods and services, technical failures arising for reasons beyond the Operator’s control, or changes in exchange rates and crypto-assets. The Operator shall not be responsible for unauthorized access by third parties to the User’s account data. The Bank shall render services in accordance with its Public Offer. Once payment is confirmed, the amount, fee, and exchange rate shall not be subject to change. The Operator shall be entitled to suspend or refuse service if there is suspicion of a violation of law, fraud, or provision of false data. All disputes shall be resolved through negotiations; if no agreement is reached, they shall be resolved through legal proceedings in accordance with the legislation of the Republic of Uzbekistan. The claim review period is 30 days.

Acceptance of offer:

Completion of the first transfer signifies the User’s full and unconditional agreement with the terms and conditions of this offer, the Public Offer of JSC “Octobank”, consent to the processing of personal data, and acceptance of the risks of transactions with crypto-assets. Attention: Please make sure the QR code is correct before scanning. Verify payment details (recipient, amount, fee) before confirming. Do not scan QR codes from untrusted sources. The Operator and the Bank do not reimburse funds transferred using an incorrect QR code or as a result of fraudulent actions by third parties. The Operator shall not be responsible for the quality of goods and services purchased by the User. All claims regarding quality, returns, and refunds shall be sent directly to the supplier of the goods and services. Using the service for illegal activities, including money laundering and terrorist financing, is strictly prohibited and will be prosecuted. If you suspect fraud, do not complete the transaction and contact Asterium support. This offer shall be governed by the laws of the Republic of Uzbekistan. Use of the Operator’s services constitutes the User’s agreement with all the terms and conditions of this offer, as well as with the Public Offer of JSC “Octobank”.
